Unified Buyer & Supplier Policy

1. Introduction & Acceptance

By registering on, accessing, or using Tron Auction (the "Platform") available at www.tronAuction.com, all users—including buyers and suppliers—confirm that they have read, understood, and fully accepted this Unified Buyer & Supplier Policy ("Policy"). Continued use of the Platform constitutes ongoing acceptance of this Policy and any future amendments.

If you do not agree with any part of this Policy, you must immediately discontinue use of the Platform.

TeraTron FZ-LLC ("TeraTron") operates solely as a digital intermediary and marketplace facilitator and is not a party to any transaction between buyers and suppliers.

2. Platform Rules (Applicable to All Users)

• All users must provide accurate, complete, and up-to-date registration information.
• Users must not manipulate bidding behavior, listings, pricing, wallets, deposits, delivery status, or dispute processes.
• Any misleading, fraudulent, abusive, or manipulative activity may result in immediate suspension, termination, forfeiture of deposits, and/or cancellation of transactions.
• Tron Auction reserves the unrestricted right, at its sole and absolute discretion, to reject, remove, suspend, or delist any product, listing, user, or transaction at any time, with or without notice and without obligation to provide justification.

3. Buyer Policy

3.1 Deposits

• A mandatory refundable deposit of AED 1,500 (approximately USD 410) is required to participate in auctions.
• If no auction is won, a refund may be requested, subject to a 10% processing fee.
• The bidder's maximum bidding capacity is 10 times (10x) the deposited amount.
• To increase bidding capacity, the bidder must increase their wallet deposit accordingly. Example: To bid up to AED 100,000, the bidder must maintain a minimum deposit of AED 10,000 in their wallet.
• If a buyer wins an auction but fails to complete payment within 2 days, the deposit is forfeited.

3.2 Bidding & Payment

• All bids placed on the Platform are final, binding, and irrevocable.
• Buyers must complete full payment within 48 hours of winning the auction.
• Failure to complete payment within this timeframe will result in: (a) Immediate forfeiture of the deposit, and (b) The auction being automatically awarded to the second-highest bidder.
• Buyers must maintain sufficient wallet balance and complete payment within the timeframe defined by the Platform.
• Failure to complete payment results in permanent account suspension, forfeiture of deposits, and potential legal action where applicable.

3.3 Buyer Refund Rights

Refund requests may be considered only if:

• The supplier fails to deliver the product within the listed delivery timeframe plus an additional 30 calendar days, or
• The product received is materially damaged or significantly different from the description provided in the listing.

All refund requests must be submitted within 7 days from the expected delivery date or receipt date and are subject to transaction and processing fees.

4. Supplier Policy

4.1 Commission Structure

• The base commission rate is 15%, calculated on the supplier's winning price.
• TeraTron FZ-LLC reserves the full and unrestricted right to adjust, increase, decrease, or otherwise modify the commission percentage, calculation method, or timing at its sole discretion, with or without prior notice.
• Any revised commission structure published on www.tronAuction.com or communicated through the Platform shall be deemed valid, binding, and immediately applicable to all existing and future listings.

4.2 Delivery Responsibilities

• Suppliers are fully responsible for shipping, tracking, insurance (if applicable), and successful delivery of products.
• Suppliers must update delivery status accurately and promptly at each stage.
• Suppliers bear full liability for lost, damaged, delayed, or non-compliant shipments.
• Failure to provide valid delivery proof or timely updates may result in delayed, reduced, or cancelled payments.

4.3 Payment Terms

Supplier payments are released 30 days after delivery, subject to:

• Valid proof of delivery
• Buyer confirmation or absence of dispute
• No policy violations

Any chargeback, dispute, or compliance issue may result in payment suspension or cancellation.

4.4 Product Compliance & Accuracy

• All listed products must exactly match their descriptions, images, specifications, and condition.
• Counterfeit, unsafe, damaged, misrepresented, or non-compliant products are strictly prohibited and may result in permanent supplier removal and forfeiture of funds.

4.5 Tax & Regulatory Obligations

• Suppliers are solely responsible for all applicable VAT, customs duties, import/export requirements, and regulatory compliance.
• Tron Auction does not collect, calculate, or remit VAT or taxes on behalf of suppliers.

5. Prohibited Goods (UAE Law Compliance)

The following goods are strictly prohibited from being listed, auctioned, or sold on Tron Auction in accordance with UAE laws and regulations, including but not limited to:

• Narcotics, controlled drugs, psychoactive substances, and related paraphernalia
• Weapons, firearms, ammunition, explosives, military equipment, and accessories
• Alcohol, or related items without proper UAE authorization
• Pornographic, obscene, or morally offensive content or materials
• Gambling devices, illegal betting tools, or lottery-related products
• Counterfeit goods, forged documents, fake currency, or imitation branded items
• Stolen property or items obtained through illegal means
• Hazardous materials, radioactive items, or toxic substances
• Products violating intellectual property rights, trademarks, or copyrights
• Food, beverages, perishable goods, or consumables that may deteriorate, spoil, leak, melt, or be damaged during transportation, storage, or customs clearance
• Any item prohibited under UAE federal law, local emirate regulations, or international sanctions

Tron Auction reserves the right to update or expand this list at any time and to immediately remove any prohibited or suspected item without notice.

6. Force Majeure

Tron Auction, TeraTron FZ-LLC, buyers, and suppliers shall not be held liable for any failure or delay in performance caused by events beyond reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, civil unrest, government actions, embargoes, port congestion, customs delays, power outages, cyberattacks, or logistics disruptions.

During a Force Majeure event, obligations shall be suspended for the duration of the event, and no penalties, damages, or liabilities shall apply.

7. Sanctions, Export Control & Trade Compliance

Users must comply with all applicable UAE, UN, US, EU, and international sanctions, export control laws, and trade restrictions.

• Products, payments, users, or transactions linked to sanctioned countries, entities, or individuals are strictly prohibited.
• Tron Auction may block, freeze, reject, or report any transaction suspected of violating sanctions or export controls.
• Users bear full responsibility for ensuring lawful trade, licensing, and cross-border compliance.

8. AML, KYC & Source-of-Funds Compliance

To comply with anti-money laundering (AML), counter-terrorism financing (CTF), and financial crime regulations:

• Tron Auction reserves the right to conduct Know-Your-Customer (KYC), identity verification, and source-of-funds checks at any time.
• Users may be required to submit identification documents, corporate records, bank details, and transaction explanations.
• Tron Auction may suspend, freeze, delay, or terminate accounts and wallets pending verification.
• Any suspicious activity may be reported to relevant UAE authorities without prior notice.

Failure to comply with AML/KYC requirements may result in permanent account termination and forfeiture of funds.

9. Data Privacy & Platform Data Ownership

• Tron Auction owns all platform-generated data, including listings, bids, transaction records, analytics, logs, and dispute records.
• Users grant Tron Auction a non-exclusive, irrevocable right to store, process, analyze, and use platform data for operational, legal, compliance, and improvement purposes.
• User personal data shall be handled in accordance with applicable UAE data protection laws.
• Tron Auction is not responsible for data loss caused by force majeure events, cyber incidents, or third-party service providers.

10. Dispute Resolution

• All disputes must be submitted exclusively through the Tron Auction CRM or official platform channels.
• Tron Auction acts as the final and binding authority in resolving disputes.
• Decisions issued by Tron Auction are final, non-negotiable, and enforceable.
• Users waive the right to escalate disputes externally except where legally mandatory.

11. Legal Waiver & Jurisdiction

By using the Platform, users expressly agree that:

• Tron Auction and TeraTron FZ-LLC shall not be liable for product quality, authenticity, delivery, commission fees, processing fees, delays, payment issues, or user misconduct.
• Users waive any right to initiate claims, lawsuits, or proceedings against Tron Auction or TeraTron FZ-LLC.
• If legal action becomes unavoidable, UAE law shall apply, and Ras Al Khaimah courts shall have exclusive jurisdiction.

12. Liability Disclaimer

Tron Auction and TeraTron FZ-LLC shall not be liable for:

• Direct or indirect losses, delays, or failed deliveries
• Loss of profits, data, or business opportunities
• Fraud or misconduct by buyers or suppliers
• Technical failures, cyber incidents, downtime, or unauthorized access

13. Amendments & Updates

Tron Auction reserves full and exclusive rights to amend, modify, add, or remove any part of this Policy at any time. Updated versions will be published on www.tronAuction.com. Continued use of the Platform constitutes acceptance of all amendments.
